MRKT Manager — Early Access Agreement

By creating an account or using MRKT Manager (the "Service"), you ("you") agree to this Agreement. If you do not agree, do not use the Service.
0. How this fits with the Terms of Service
This Agreement adds to the Terms of Service; it does not replace them. The Terms of Service govern the commercial relationship, including subscriptions, billing, cancellation, and the limitation of liability. Where this Agreement is silent, the Terms of Service apply. Where this Agreement adds a term specific to early access, that term applies.
1. Early access — provided "AS IS"
The Service is a paid subscription and is also under active development. Features are added, changed, and occasionally removed. Some parts of the product are incomplete or marked as coming soon, and those are not part of what you are paying for until they ship.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH NO WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that it will be uninterrupted or error-free, or that it will produce any particular result, including listing performance or the standing of your Facebook account.
Pricing, billing, trials, and cancellation are covered in the Terms of Service. Your rate is shown on the checkout page before any card is charged, and on every invoice. Nothing in this Agreement makes the Service free of charge.
2. Facebook / Meta — important risk you accept
The Service automates actions on Facebook Marketplace and retrieves data from dealer websites. This may violate Facebook's / Meta's Terms of Service and automation policies. You acknowledge and accept that:
- Using the Service with your Facebook account could result in that account being warned, restricted, suspended, or permanently banned by Meta, and we have no control over and no responsibility for Meta's actions.
- You are solely responsible for your own and your dealership's Facebook accounts and for deciding whether to use automation given this risk.
- The Service paces posting and stops when Facebook signals a problem, but pacing reduces this risk and does not remove it. No setting makes it zero, and we do not promise that your account will be unaffected.
- We are not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., Facebook, or Instagram.
3. Your responsibilities
You represent and agree that:
- You have the right to use, and to post to Facebook Marketplace, all vehicle data and images you process through the Service (including dealer photographs), and you are responsible for any third-party rights in that content.
- You will comply with all applicable laws and the terms of any third-party platform you use through the Service (including Meta and the dealer sites).
- Any customer or personal information you enter (e.g., in the Customers area) was collected lawfully and you have the right to process it.
- You will review listings before they are published. The Service writes listing text from your own inventory data and presents it for approval, and you are the last check before anything is public.
- You will keep your login credentials secure and not share your account.
4. Talking about the Service
You are free to talk about MRKT Manager publicly: that you use it, what it costs, what it does for your store, and what you think of it, including criticism. Screenshots of your own account are yours to share. Nothing here stops you from reviewing the Service or discussing your experience of it.
The one exception is genuinely non-public material we hand you directly and identify as confidential at the time, such as an unreleased feature we let you try early. Please keep that to yourself until it ships.
5. Feedback
You may give feedback, and you grant us a perpetual, royalty-free license to use it to improve the Service, with no obligation to you.
6. Data
The Service stores account, inventory, Facebook-session, and (if you use those features) customer data. How we handle it is described in our Privacy Policy.
We take routine backups of hosted data, but backups are a recovery measure, not a guarantee. We do not warrant against data loss, and you should keep your own copy of anything you cannot afford to lose. Your inventory records remain yours, and you can export them from the Service at any time.
7. Limitation of liability
The limitation of liability in Section 9 of the Terms of Service applies to this Agreement and to your use of the Service. For clarity, our total aggregate liability for any claim will not exceed the greater of (a) the amount you paid us in the 3 months before the claim, or (b) CAD $100.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or Facebook / Marketplace account standing, arising from or related to the Service. Some jurisdictions limit these exclusions; they apply to the extent permitted.
8. Indemnity
You will indemnify and hold us harmless from claims, losses, and expenses arising from your use of the Service, your content, or your breach of this Agreement or any third-party terms (including Meta's).
9. Term & termination
This Agreement applies while your account is active. You may stop using the Service at any time and cancel from your account; cancellation is governed by the Terms of Service. We may suspend or terminate access for breach of this Agreement or the Terms of Service, or where continuing would put your account or ours at risk.
10. Changes
We may update this Agreement; material changes will be notified in-app or by email, and continued use means acceptance.
11. Governing law
This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Courts located in Alberta have exclusive jurisdiction.
By clicking "I agree" / continuing to use the Service, you confirm you have read and accept this Agreement and the Privacy Policy and Terms of Service.
