MRKT Manager — Beta / Early-Access Agreement

Effective date: May 26, 2026 Operator: MRKT Manager — an unincorporated service operating in Alberta, Canada ("we", "us") Contact: support@mrktmanager.app

By creating an account or using the MRKT Manager beta (the "Service"), you ("you", "Beta Tester") agree to this Agreement. If you do not agree, do not use the Service.

1. Beta nature — provided "AS IS"

The Service is pre-release, experimental software offered free of charge for evaluation. It may be incomplete, contain bugs, change, break, lose data, or be discontinued at any time without notice. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH NO WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement.

2. Facebook / Meta — important risk you accept

The Service automates actions on Facebook Marketplace and retrieves data from dealer websites. This may violate Facebook's / Meta's Terms of Service and automation policies. You acknowledge and accept that:

• Using the Service with your Facebook account could result in that account being warned, restricted, suspended, or permanently banned by Meta, and we have no control over and no responsibility for Meta's actions.
• You are solely responsible for your own and your dealership's Facebook accounts and for deciding whether to use automation given this risk.
• We are not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., Facebook, or Instagram.

3. Your responsibilities

You represent and agree that:

• You have the right to use, and to post to Facebook Marketplace, all vehicle data and images you process through the Service (including dealer photographs), and you are responsible for any third-party rights in that content.
• You will comply with all applicable laws and the terms of any third-party platform you use through the Service (including Meta and the dealer sites).
• Any customer or personal information you enter (e.g., in the Reply Assistant / Customers area) was collected lawfully and you have the right to process it.
• You will keep your login credentials secure and not share your account.

4. Confidentiality

The Service, its features, pricing, and any non-public information you receive are confidential. During the beta, please do not publicly share screenshots, performance details, or access without our consent.

5. Feedback

You may give feedback, and you grant us a perpetual, royalty-free license to use it to improve the Service, with no obligation to you.

6. Data

The Service stores account, inventory, Facebook-session, and (if you use those features) customer data. How we handle it is described in our Privacy Policy. During beta, keep your own backups of anything important — we do not guarantee against data loss.

7. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or Facebook/Marketplace account standing, arising from or related to the Service. Our total aggregate liability for any claim relating to the Service will not exceed CAD $100. Some jurisdictions limit these exclusions; they apply to the extent permitted.

8. Indemnity

You will indemnify and hold us harmless from claims, losses, and expenses arising from your use of the Service, your content, or your breach of this Agreement or any third-party terms (including Meta's).

9. Term & termination

This Agreement applies for the duration of the beta. Either party may stop at any time. We may suspend or terminate your access at any time, for any reason, without liability.

10. Changes

We may update this Agreement; material changes will be notified in-app or by email, and continued use means acceptance.

11. Governing law

This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Courts located in Alberta have exclusive jurisdiction.
